1. Acceptance of Terms

By downloading, installing, or using the APEX AI Coach mobile application ("APEX," "the App," "we," "our," or "us"), you agree to be bound by these Terms of Use and End User License Agreement ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms apply to all users of APEX, including coaching clients and Walk + Water Challenge participants.

2. Description of Service

APEX AI Coach is a personal fitness and wellness application that provides:

AI-powered coaching tools for 1-on-1 coaching clients
The 3-day Walk + Water Challenge, and ongoing weekly challenge rounds for members
Workout tracking and form review via video
Live coaching sessions via GoLive (for coaching clients)
Nutrition guidance and progress tracking
Community feed and tribe features

Access to certain features requires a coaching arrangement with Coach Josh Saunders, initiated by booking a 1-on-1 call. Access to Walk + Water Challenge premium features requires an active subscription as described in Section 4.

3. User Accounts

To use APEX, you must create an account using a valid email address. You are responsible for:

Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Notifying us immediately of any unauthorized use of your account
Ensuring all information you provide is accurate and up to date

You must be at least 13 years of age to create an account.

4. Subscriptions & In-App Purchases

APEX offers auto-renewable monthly and annual subscriptions for Walk + Water Challenge membership access. Purchases are processed through Apple's App Store or Google Play, depending on your device.

Walk + Water Challenge Membership — Annual · Auto-renews annually at the price displayed by the App Store or Google Play at checkout.

Decline / Second-Chance Offers · Paid introductory pricing may be offered after you decline the main membership offer. These offers begin with an immediate charge and do not include a free trial.

All subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. Payment is charged to your App Store or Google Play account at confirmation of purchase.

You can manage and cancel your subscription at any time in your App Store or Google Play subscription settings. Cancellation takes effect at the end of the current billing period — you retain access until then.

Prices are in USD and may vary by region. Applicable taxes may apply.

5. Free Trials & Introductory Offers

The main monthly membership offer includes a 14-day free trial for customers whom the App Store or Google Play determines are eligible. A 14-day free trial may also appear on the main annual offer when the store confirms eligibility. Trial eligibility is controlled by the applicable store and may be limited to one introductory offer per customer.

Free trials are not available on decline or second-chance offers. If a trial or paid introductory offer is available, its exact duration, immediate charge, and renewal price will be displayed at the point of purchase before you confirm. After a trial or introductory period ends, the subscription renews at the price disclosed at checkout unless cancelled.

6. Refunds

Purchases are processed by Apple or Google. Refund requests must be submitted directly through the applicable store's standard refund process. For Apple purchases, visit reportaproblem.apple.com. We do not have the ability to issue store refunds directly.

7. Health & Fitness Disclaimer

APEX is a fitness and wellness tool, not a medical service. The app's content, including AI Coach responses, workout plans, nutritional guidance, and challenges, is for general wellness purposes only and does not constitute medical advice, diagnosis, or treatment.

Consult a qualified healthcare professional before beginning any new exercise or nutrition program, especially if you have a pre-existing medical condition, injury, or health concern. You use the App and follow any guidance entirely at your own risk.

8. AI Coach

APEX includes an AI-powered coach that uses large language models to generate responses. You acknowledge that:

AI responses are generated automatically and may not always be accurate
The AI Coach is not a substitute for professional medical, nutritional, or personal training advice
Do not share sensitive personal or medical information in chat messages
AI responses are powered by third-party APIs (including Anthropic's Claude) subject to their own terms

9. Acceptable Use

You agree not to:

Use the App for any unlawful purpose or in violation of these Terms
Attempt to reverse-engineer, decompile, or extract the source code of the App
Upload or transmit any harmful, offensive, or illegal content
Impersonate any person or misrepresent your identity
Use the App to harass or harm other users
Attempt to gain unauthorized access to any part of the App or its systems
Use automated tools or bots to interact with the App

10. Intellectual Property

All content within APEX — including the app design, workout programs, challenge content, AI prompts, branding, and text — is owned by or licensed to APEX AI Coach and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use in accordance with these Terms. No other rights are granted.

11. User-Generated Content

If you post content to the in-app Community feed or submit form review videos, you grant us a non-exclusive, royalty-free license to display that content within the App. You retain ownership of your content and are solely responsible for it.

Form review videos submitted to coaches are used only for coaching purposes and are not shared publicly.

12. Privacy

Your use of APEX is also governed by our Privacy Policy at apexai.coach/privacy-policy, which is incorporated into these Terms by reference.

13. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the App ceases immediately.

You may delete your account at any time by contacting us at the address below. Deleting your account does not automatically cancel any active subscriptions — you must cancel those separately through your App Store or Google Play subscription settings.

14. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components.

15. Limitation of Liability

To the maximum extent permitted by applicable law, APEX AI Coach and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of the App shall not exceed the amount you paid us in the 12 months preceding the claim.

16. Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Arizona.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date at the top of this page. Your continued use of the App after changes take effect constitutes your acceptance of the revised Terms.
